1. Agreement to Terms

By accessing or using Picasso ("Service," "Platform," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

2. Description of Service

Picasso is an AI-powered social media marketing automation platform that enables users to:

  • Generate marketing content using artificial intelligence
  • Manage and schedule social media posts across multiple platforms
  • Track campaign performance and engagement analytics
  • Integrate with social media platforms including but not limited to Facebook, Instagram, LINE, and TikTok
  • Manage customer conversations and interactions
  • Create and track promotional campaigns and coupons

3. User Accounts

3.1 Account Creation

To use Picasso, you must create an account by providing accurate and complete information. You may register using email/password or through Google OAuth authentication.

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Ensuring your account information remains accurate and up-to-date

3.3 Account Types and Roles

Picasso supports multiple user roles within a company account: Owner, Admin, Editor, and Viewer. Each role has different permissions and access levels.

4. Acceptable Use

4.1 Permitted Use

You may use Picasso for lawful business marketing purposes in compliance with all applicable laws and regulations in your jurisdiction.

4.2 Prohibited Activities

You agree NOT to:

  • Violate any laws, regulations, or third-party rights
  • Post illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable content
  • Engage in spam, phishing, or unsolicited commercial communications
  • Impersonate any person or entity or misrepresent your affiliation
  • Interfere with or disrupt the Service or servers/networks connected to the Service
  • Attempt to gain unauthorized access to any portion of the Service
  • Use the Service to generate content that infringes intellectual property rights
  • Scrape, copy, or reverse engineer any part of the Service
  • Use automated systems to access the Service in a manner that sends more requests than a human could reasonably produce
  • Violate the terms of service of any connected third-party platforms (Facebook, Instagram, LINE, TikTok)

5. Content and Intellectual Property

5.1 Your Content

You retain all rights to the content you create, upload, or generate using Picasso ("Your Content"). By using the Service, you grant us a limited, worldwide, non-exclusive license to use, store, process, and display Your Content solely to provide and improve the Service.

5.2 AI-Generated Content

Content generated by our AI features is provided to you for your use. However, you are responsible for:

  • Reviewing all AI-generated content before publishing
  • Ensuring generated content complies with applicable laws and platform policies
  • Verifying factual accuracy of generated content
  • Ensuring generated content does not infringe third-party rights

5.3 Our Intellectual Property

The Picasso platform, including its software, design, features, and functionality, is owned by us and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our platform.

6. Third-Party Integrations

6.1 Social Media Platforms

Picasso integrates with third-party social media platforms. You must:

  • Comply with each platform's terms of service and policies
  • Have appropriate permissions to connect accounts
  • Understand that we are not responsible for actions taken by third-party platforms
  • Accept that platform integrations may change or become unavailable

6.2 AI Services

We use several third-party AI APIs for AI-powered content generation. By using our AI features, you acknowledge that your data will be processed by the corresponding AI service providers according to their respective terms and privacy policies.

6.3 Odoo Integration

If you connect your Odoo ERP system, you grant us permission to access and sync data from your Odoo database. You are responsible for ensuring you have authorization to share this data.

7. Credits and Payments

7.1 Credit-Based System

Picasso operates on a pay-as-you-go credit system. AI-powered features (such as content generation) consume credits based on estimated token usage. Before processing, you will be shown the estimated cost and can choose whether to proceed. Credits are purchased in advance and stored in your account balance.

7.2 Payments

You can purchase credits using available payment methods. All credit purchases are final and non-refundable, except where required by applicable consumer protection laws in your jurisdiction.

7.3 Credit Usage

Credits are deducted from your account balance when you use AI-powered features. You are responsible for maintaining sufficient credits in your account. Services requiring credits will not be available if your balance is insufficient.

7.4 Price Changes

We reserve the right to change our credit pricing with at least 30 days' notice. Price changes will only apply to future credit purchases, not to credits already in your account.

8. Data and Privacy

Your use of Picasso is also governed by our Privacy Policy, which explains how we collect, use, and protect your data. By using the Service, you consent to our data practices as described in the Privacy Policy.

9. Disclaimers and Limitations of Liability

9.1 Service Availability

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind. We do not guarantee uninterrupted, error-free, or secure access to the Service.

9.2 AI-Generated Content

We do not guarantee the accuracy, quality, or suitability of AI-generated content. You are solely responsible for reviewing and using AI-generated content.

9.3 Third-Party Services

We are not responsible for the availability, functionality, or actions of third-party services (social media platforms, AI providers, etc.) integrated with Picasso.

9.4 Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Service.

Our total liability for any claims related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Picasso and the company that operates it, and their officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your Content
  • Your violation of these Terms
  • Your violation of any third-party rights

11. Termination

11.1 By You

You may terminate your account at any time using the account deletion feature in the platform. Any unused credits will be forfeited upon termination.

11.2 By Us

We may suspend or terminate your account if:

  • You violate these Terms
  • Your use of the Service poses security or legal risks
  • You fail to pay subscription fees
  • We discontinue the Service (with reasonable notice)

11.3 Effect of Termination

Upon termination:

  • Your access to the Service will cease
  • Your data will be deleted according to our data retention policy
  • You remain liable for any fees owed
  • Provisions that by their nature should survive termination will remain in effect

12. Changes to Terms

We may modify these Terms at any time. We will notify you of significant changes by posting a notice on the platform or sending an email. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms.

13. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of Thailand. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Thailand, except where prohibited by law.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Picasso regarding the Service.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

14.4 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms without restriction.
